Terms of Service
Welcome to CipherIQ. By using cipheriq.ai or the CipherIQ web application (the "Service"), you agree to these Terms of Service ("Terms"). If you don't agree with these Terms, please don't use the Service.

1. Who we are
CipherIQ provides operations management software for Amazon Delivery Service Partners (DSPs). The Service helps DSP owners and dispatchers track operations, manage their teams, and surface insights through our AI assistant Cipher.
2. Your account
To use most of the Service, you need an account. You agree to:
- Provide accurate information when signing up
- Keep your password secure and confidential
- Be responsible for all activity that happens under your account
- Notify us immediately if you suspect unauthorized access
If you create accounts for dispatchers or other team members, you're responsible for those accounts and the actions taken from them.
3. Acceptable use
When using CipherIQ, you agree NOT to:
- Use the Service for any illegal purpose or to violate any laws
- Attempt to gain unauthorized access to other tenants' data
- Reverse engineer, decompile, or attempt to extract source code from the Service
- Use automated systems to access the Service in ways that disrupt or impair functionality
- Upload malicious code, viruses, or content that infringes others' rights
- Resell, sublicense, or transfer your access to others without our written permission
4. Your data
You own the data you put into CipherIQ. You grant us a limited license to store, process, and display your data solely to provide the Service to you and your team.
How we handle your data is described in our Privacy Policy, which is incorporated into these Terms.
5. Service availability
We work hard to keep CipherIQ available and running smoothly, but we do not guarantee uninterrupted service. The Service may occasionally be unavailable due to:
- Scheduled maintenance (we'll provide notice when possible)
- Emergency repairs or security updates
- Third-party service outages (hosting, email providers, etc.)
- Events outside our reasonable control
We are not liable for losses caused by Service unavailability.
6. AI features and limitations
Cipher, our AI assistant, provides insights and recommendations based on the data you provide. AI-generated content is for informational purposes only:
- Insights and recommendations may be incorrect or incomplete
- Final decisions about your operations, team, or drivers remain with you
- We are not responsible for outcomes based on Cipher's suggestions
7. Payment and billing
If you're on a paid plan, you agree to pay the fees described at the time of signup. We may change pricing with at least 30 days' notice for existing customers.
Fees are non-refundable unless required by law or expressly stated otherwise.
8. Termination
You can cancel your account at any time by emailing [email protected].
We may suspend or terminate your account if you violate these Terms or if your account is inactive for an extended period. We'll generally try to give notice when possible.
After cancellation, we retain your data for 60 days as described in our Privacy Policy, then delete or anonymize it.
9. Limitation of liability
To the maximum extent allowed by law, CipherIQ is provided "as is" without warranties of any kind. We are not liable for:
- Indirect, incidental, or consequential damages
- Lost profits, lost data, or business interruption
- Issues caused by third-party services we integrate with
Our total liability for any claim is limited to the amount you paid us in the 12 months before the claim arose.
10. Changes to these Terms
We may update these Terms from time to time. When we do:
- We will update the "Last updated" date above
- For material changes, we will notify account owners by email
- Continued use after the effective date means you accept the new Terms
